Public offer
on the provision of a voluntary charitable donation (free transfer of property, funds) for public (charitable) purposes.
This offer is addressed to an indefinite number of individuals and legal entities (hereinafter referred to as the "Benefactor") - to visitors of the website of the Charitable Organization "Charitable Foundation "STANDS OF HEROES" at standsofheroes.com (hereinafter - the Website), and is an official and public offer of the Charitable Organization "Charitable Foundation " STANDS OF HEROES" ( legal entity unique identification number or EDRPOU code 44767418) (hereinafter referred to as the Organization), represented by the Chairman of the Board Tikhon Amosov, acting based on the Charter, to conclude a charitable donation agreement (hereinafter - the Agreement), the subject and essential terms of which are indicated below:
1. Terms and definitions:
Public Offer - a valid offer of the Organization posted on the Website to make a charitable donation addressed to an unlimited number of persons, including the Benefactor.
Acceptance - full and unconditional acceptance of the Public Offer by taking actions to make a money transfer using the payment forms and means posted on the Site as well as by transferring funds to the current account of the Organization through bank institutions. The date of Acceptance is the date of the money transfer and/or crediting of funds to the bank account of the Organization.
Charitable Donation means a voluntary money transfer made by the Benefactor to achieve and implement the goals, objectives, directions, and types of statutory activities of the Organization in accordance with the Agreement, the Charter of the Organization, and the Law of Ukraine "On Charitable Activities and Charitable Organizations".
2. Subject of the contract:
The subject of this contract is the free transfer by the Benefactor to the property of the Organization of funds by making voluntary donations for the implementation of the statutory activities of the Organization.
A charitable donation is voluntary and is not refundable to the Benefactor.
The Benefactor decides the amount of the charitable donation independently.
If desired, the Benefactor may indicate the purpose of the charitable donation, choosing among the programs (projects) and goals announced by the Organization.
The Benefactor agrees to the redistribution/usage of the donated funds in other projects of the Foundation if at the time of their donation this project was closed or irrelevant.
3. How to make a charitable donation:
A subscription that provides monthly/annual payments in an arbitrary amount.
This subscription can be cancelled at any time through the services of the user's bank (for example, Privat24).
4. Offer Acceptance
Acceptance of the Offer means that the Benefactor agrees with all their provisions and fully understands and accepts the subject matter of the Agreement, the purpose of the public collection of donations, and the right of the Organization to use part of the Charitable Donation of the Benefactor for the administrative expenses of the Organization, in the amount not exceeding the limit provided by the legislation of Ukraine.
5. The benefactor and the Organization
The Benefactor and the Organization, in accordance with Art. 207, Part 2 of Art. 639, Art. 641, 642 of the Civil Code of Ukraine, agree that from the moment of Acceptance the Agreement shall be deemed to be concluded in writing. The Parties agree that failure to comply with the written form of the transaction by the Parties does not mean its invalidity.
6. Rights and obligations of the Organization:
6.1. The Organization has the right to
receive charitable donations and use them to achieve the goals, objectives, areas, and types of statutory activities of the Organization in accordance with the Agreement, the Organization's Charter, and the Law of Ukraine "On Charitable Activity and Charitable Organizations"
to change the directions of how donations are used within the statutory activities of the Organization without the consent of the Benefactor;
to use part of the Charitable Donation for the administrative expenses of the Organization in the amount not exceeding the amount provided for by the legislation of Ukraine without the consent of the Benefactor.
6.2. The Organization is obliged to
use the received donations according to the subject and conditions of this Agreement, the Charter of the Organization, and the Law of Ukraine "On Charitable Activity and Charitable Organizations"
to report on the use of the donations in the manner prescribed by this Agreement and the current legislation of Ukraine.
7. The right of the benefactor
The benefactor has the right to control the targeted use of the donation.
8. Place of public fundraising:
Public fundraising is carried out in any country in the world. The Organization's direct activities related to the public collection of donations under the Agreement are held at the Organization's location.
9. The term of fundraising:
The public fundraising shall continue until the Organization is dissolved unless another term is determined by the Organization.
10. The purpose and procedure of using charitable donations:
The Organization raises funds to support Ukrainian people by financing various types of humanitarian aid for the population and assisting the military in order to save lives and provide protection of the territory of Ukraine, as well as further restoration of the state's infrastructure.
The use of charitable donations collected under the Agreement is carried out through the purchase and supply of various types of humanitarian aid directly to people or organizations who have suffered from the war in Ukraine, as well as the purchase of ammunition and other equipment for the Ukrainian defenders or the donation of funds to the families of the deceased fans.
11. The procedure of general access to the financial reports of the Organization:
Access to reports on the use of charitable donations of the Organization is provided to the Benefactor upon his written application. The Organization provides other information in the manner and within the terms stipulated by the current legislation of Ukraine. The Organization may publish reports on the use of charitable donations on the Website.
12. All expenses on payment of amounts (commissions) related to the transfer and crediting of charitable donations are borne by the Benefactor.
13. The Benefactor is responsible for the accuracy of the information provided by them when making a voluntary charitable donation.
14. In order to comply with the Law of Ukraine "On Personal Data Protection" and to fulfill the terms of the Agreement, the Benefactor agrees to the personal data processing. The Organization shall not disclose the email address and other information about the benefactors to third parties, except in the cases stipulated by the current legislation of Ukraine.
15. Acceptance also means that the individual Benefactor is informed and agrees with the following:
The Benefactor provides the Organization with unconditional consent to process the data provided when visiting the Website and/or making a money transfer (hereinafter referred to as personal data), and is informed about the inclusion of such information in the Organization's database and about all the rights to protect their data provided by the current legislation of Ukraine, namely Article 8 of the Law of Ukraine "On Personal Data Protection";
The Organization processes personal data by any means in order to properly implement this Agreement and its statutory activities.
16. The provisions of Ukrainian legislation apply to the relations between the Benefactor and the Organization.
